Private Placement

An exempt offering of securities. In the United States, it usually involves a limited distribution (generally 35 or fewer participants) of restricted stock to accredited private investors (Angels). The sale is usually exempt from SEC registration requirements. The investors execute an investment letter stating that the securities are being purchased for investment without a view towards sale.
